Privacy Policy
ilumisys, Inc. DBA “toggled” is committed to protecting the privacy of the users of its websites and applications (individually “Website” or collectively “Websites”), and to complying with all applicable laws regarding data protection security and data privacy. This privacy policy (“Policy”), effective November 1, 2017, describes how the information that toggled collects from you over its Websites is handled and protected.
Collection of Information
toggled gathers information about you on our Websites. When you visit toggled Websites, you provide toggled with the following information:
1. Non-personal information collected by toggled through your interaction with our Website
2. Personal information you knowingly and voluntarily disclose to toggled, such as (a) upon registration, if applicable, such as your name, e-mail address, company name, company or personal address, phone numbers and related data (“Personal Information”) or (b) when requesting or obtaining any toggled products or services online or (c) when using online services which require specific technical information to be provided by you, such as materials, models or information, to take advantage of online services. Personal Information does not include information that is encoded or anonymized, or publicly available information that has not been combined with non-public personal information. toggled and its third party service providers use technology such as Web Beacons and Cookies to collect non-personally identifiable information about your use of the Website. As used herein, Web Beacons are small files, associated with the particular Website that transmit information regarding your use of the Website to toggled. As used herein, a Cookie is a piece of data stored on a computer that is tied to information about the user. You can easily remove or block Cookies using the settings in your browser if you wish to disable this feature. To confirm that you are logged into the service, we use session ID Cookies that immediately terminate once you close your browser.
Collection of Information by Third Party Service Providers
toggled hires third parties to provide information, reports and analysis about the usage of its website. toggled and its third party service providers use proprietary tools, including but not limited to Web Beacons and Cookies, to track and analyze non-personally identifiable usage and volume information and statistics. All third party service providers are obligated to protect your information in a manner consistent with commercially reasonable confidentiality standards. toggled uses Google Analytics to collect non-personally identifiable information which is used to enhance your user experience and assist in promotional campaigns. Usage of Non-Personal Information
When you register or sign into toggled’s Websites, toggled and its third party service providers collect such non-personal data as your IP address, your browser type, and certain other information related to your use of the Websites. toggled uses the collected information to track website usage rates, traffic patterns, and volume, which allows it to better understand and respond to customer demands and improve the efficiency of the Website.
toggled may use this data and share it with our affiliates and vendors providing web services to toggled to monitor the effectiveness of our Websites and to make improvements.
Usage of Personal Information
We use your Personal Information to allow us to obtain payment for goods or services procured by you via a Website, and for contacting you for promotional purposes. toggled uses your information to comply with US Government rules and regulations regarding export of technical information and/or products.
toggled uses the information provided by you for setting up the technical problem(s), solving the problem(s), and providing technical support. toggled may also use the Personal Information to contact you regarding reported problems and issues.
Finally, you may choose to communicate with us via third party social networking sites like Facebook, Twitter, LinkedIn, etc (“Social Media Site(s)”), for example by “liking” our posts or posting comments, questions and reporting about your toggled experience. By taking any of these actions, you ask the connection or the respective Social Media Site to send to us certain information from your profile on that applicable Social Media Site, and you are authorizing us to collect, store, and use such information in accordance with this Privacy Policy.
Security
Each registered user’s account is secured by a member-created password. toggled employs commercially reasonable measures to protect users’ information that is stored in relation to its Websites.
You understand and acknowledge that copies of content you provide outside of secure transactions may remain viewable in cached and/or archived pages or if other users of a Website, have copied and/or stored your user content.
While toggled employs reasonable security measures to protect its own and its users’ information, toggled cannot guarantee the security of each user’s account information, as unauthorized entry or use, software or hardware failure, and other uncontrollable factors may compromise the security of each user’s personal information at any time.
Sharing Your Personal Information with Third Parties
toggled will never sell your Personal Information to third parties for marketing purposes. We only may share Personal Information with third parties with your express consent or as necessary to complete any transaction or provide you with any product or service as requested or authorized, as detailed further below.
toggled does not disclose Personal Information to any third party unless toggled believes that disclosure is necessary to:
1. Enforce toggled’s Terms of Use Agreement;
2. Protect toggled’s rights;
3. Coincide with legal requirements (ex: responding to a subpoena, search warrant, or any other legal process serviced upon toggled). toggled will not reveal information until toggled has a good faith belief that the law enforcement information and/or private litigant request meet the applicable legal standards;
4. Protect the safety of toggled’s users and their Personal Information;
5. Enhance your promotional and informational-sharing experience; or
6. Respond to the request of a user.
toggled expressly reserves the right to transfer Personal Information to a successor in interest that acquires the rights to that information as a result of the acquisition of toggled, or the sale of a substantial portion of its assets to that successor in interest.
You may inquire about your Personal Information stored by toggled and/or a list of third party provider companies by sending an e-mail to support@toggled.com. toggled will provide you with a readable copy of the requested material, however, toggled will require proof of your identity before providing such data.
Credit Card Information and Support
If you are making a purchase on the Website, you may be asked to provide credit card information. In such event, it is our policy to redirect you to a payment processing portal hosted by a third party payment processor. We do not store any credit card information. toggled hires third parties to store name, address, telephone number, email address, and other information necessary for toggled to assist you with general support and warranty issues. Only those with a direct need to know will have access to such information.
Comments, Messages, and Links posted on the Website
Whenever you voluntarily post any information as a comment, blog, review, message, link, photo, video, and/or other information to a third party Social Media Site or the Website, that information can be accessed by the public and can then be used to send you unsolicited communications. If you post a link to your network website on any third party site, your public profile will be viewable by a third party that clicks on your link. If you do not wish to have your public profile viewable to any third party, you should not post on any Social Media Site or the Website.
The toggled Websites may contain links to other sites, including sites posted by you or other registered users. toggled is not responsible for the privacy practices or the content of other websites. This Policy applies solely to the information collected in the use of toggled’s network and toggled’s Websites.
Children’s Personal Information
Neither our Website nor its products or services are directed towards children under 13. Accordingly, toggled does not knowingly collect any personal information from children under the age of 13.
Correct, Updating or Removing Your Personal Information
At any time, you can correct, update, or remove any of the personal information you’ve provided to toggled by sending a message to support@toggled.com stating that you would like your personal data to be corrected, updated, or removed. If you are using the toggled App, you need to log in your account on the toggled iQ app and use the “More” tab and use the “My Account” feature.
You can also send a request to remove your name from toggled’s marketing list, if you do not wish to receive any marketing information by using the “Unsubscribe” link located in the electronic marketing material stating that you would like to be removed.
Changes in the Privacy Policy
toggled retains the right, in its sole discretion, to change this Policy at any time. Such new policy will take effect within thirty (30) days of posting on our Websites. Each user is bound by any change to this Policy if he or she uses the Website(s) after said changes have been posted and effective.

- impersonates any person or entity, including any of our employees or representatives.
You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site. Altair neither endorses nor assumes any liability for the content of any material uploaded or submitted by third party users of the Site. Altair generally does not pre-screen, monitor, or edit the Content posted by users that may be available on or through the Site. Altair retains the right, in its sole discretion, to remove any Content that, in Altair’s sole judgment, does not comply with these Terms of Use and any other rules of user conduct for the Site, or is otherwise harmful, objectionable, or inaccurate. Altair is not responsible for any failure or delay in removing such Content.
Registration Data
In order to access some of the services on the Site, as applicable, you may be required to create an account and password that can be obtained by completing our online registration form, which requests certain information and data (“Registration Data”), and maintaining and updating your Registration Data as required. You are responsible for maintaining the confidentiality of the information you hold for your account, including your password. You agree to notify Altair immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Altair or any other user or visitor to the Site due to someone else’s use of your Registration Data, as a result of your failing to keep your account information secure and confidential. By registering, you agree that all information provided in the Registration Data is true and accurate and that you will maintain and update this information as required in order to keep it current, complete, and accurate.
You may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity. Not all areas of the Site may be available to you or other authorized users of the Site. You shall not interfere with anyone else’s use and enjoyment of the Site or other similar services. You agree that Altair may at any time, and at Altair’s sole discretion, terminate your membership, account, or other affiliation with our Site without prior notice to you for violating any of these Terms of Use.
Privacy
The information we obtain through your use of the Site, including your Registration Data, is subject to the Altair Privacy Policy, which is specifically incorporated by reference into these Terms of Use.
Third Party Sites and Information
The Site may link you to other independent third-party websites or otherwise include references to information, documents, software, materials and/or services provided by other parties. These sites may contain information or material that some people may find inappropriate or offensive. These other sites and parties are not under Altair’s control, and Altair is not responsible for and does not endorse the content of such linked sites. You acknowledge that Altair is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites, nor is Altair responsible for errors or omissions in any references to other parties or their products or services. The inclusion of such a link or reference is provided merely as a convenience and does imply endorsement of, or association with, the site or party by us, or any warranty of any kind, either express or implied.
Content available through the Site often represents the opinions and judgments of an information provider, Site user, or other person or entity not connected with Altair. Altair does not endorse, nor is Altair responsible for the accuracy or reliability of, any opinion, advice, or statement made by anyone other than an authorized Altair spokesperson speaking in his/her official capacity.
Intellectual Property
By accepting these Terms of Use, you acknowledge and agree that all content presented to you on the Site is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws, and is the sole property of Altair and/or is affiliates. You are only permitted to use the Content as expressly authorized by Altair or the specific Content provider. Any unauthorized use of the materials appearing on the Site may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.
Copyright Policy and Digital Millennium Copyright Act (DCMA) Procedures
Altair respects the intellectual property rights of others and requires that all users of the Site do the same. In accordance with the Digital Millennium Copyright Act (DMCA), Altair will respond expeditiously to claims of copyright infringement committed using the Site submitted to the Designated Agent in accordance with the instructions below. Altair reserves the right to terminate its agreement with you or any other user who infringes third-party copyrights.

Exclusions and Limitations

To the extent that Altair may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of the Altair’s liability shall be the minimum permitted under such applicable law.
Indemnification
You agree to indemnify, and hold Altair, its officers, directors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from all liabilities, claims, and expenses (including attorneys’ fees), made against Altair by any third party due to or arising out of in connection with your use of the Site.
Termination of Use
You acknowledge and agree that Altair may preserve any transmittal or communication by you with Altair through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Altair determines that such preservation or disclosure is reasonable necessary to (1) comply with the legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Altair, its employees, users of or visitors to the Site, and the public.
Upon termination or suspension, regardless of the reasons therefore, your right to use the services available on the Site, as applicable, immediately ceases, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Site. Altair shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by use in connection with such termination or suspension.
Governing Law
You agree that all matters relating to your access to or use of the Site, including all disputes, shall be governed by and construed under the laws of the United States and by the laws of the State of Michigan. These Terms of Use shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.
Anti-Piracy
It is Altair’s policy and practice to prevent the unauthorized use of its software. Use of Altair’s software is established through a written software license agreement that defines both Altair’s and the user’s rights. It is a violation of Altair’s rights to use Altair software absent express permission through written software license agreement. In the absence of a signed software license agreement between you (or the organization that you represent) and Altair, which is on file with Altair, you acknowledge that your use of Altair software is subject to terms and conditions of the appropriate standard Altair Software License Agreement.

Altair has taken and will continue to take all actions necessary to protect its intellectual property, including working with existing customers to facilitate compliance and using legal channels against third parties who are violating Altair rights.
Export Controls
You may not use or export or re-export any Content or any copy of adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.
Entire Agreement
These Terms of use constitute the entire agreement and understanding between Altair and you concerning the subject matter of these Terms of Use and supersedes all prior agreements and understandings of the parties with respect to that subject matter, if any. These Terms of Use may not be altered, supplemented, or amended by the use of any other document(s).

Privacy Shield
Altair Engineering, Inc. and its US subsidiaries Altair Product Design Inc., solidThinking Inc., and Illumisys Inc., (“Altair”) are committed to upholding the highest ethical standards in its business practices and strives to collect, use, and disclose personal information consistent with the laws of the countries in which it does business. This Privacy Shield Policy sets forth the privacy principles that Altair follows with respect to your personal consumer information transferred from the European Economic Area (EEA) (which includes the twenty-eight member states of the European Union (EU) plus Iceland, Liechtenstein and Norway) to the United States.
The Federal Trade Commission (FTC) has jurisdiction over Altair’s compliance with the Privacy Shield.
Altair has certified that it adheres to the Privacy Shield Principles of notice, choice, onward transfer, security, data integrity, access, and enforcement. To learn more about the Privacy Shield program, and to view Altair’s certification, please visit https://www.privacyshield.gov.
SCOPE
This Privacy Shield Policy (the “Policy”), effective September 26, 2016, applies to all data information received from consumers by Altair in the United States from the European Economic Area and from Switzerland, in any format including electronic, paper, or verbal.
Altair complies with the EU-U.S. Privacy Shield Framework as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information transferred from the Member States of the EEA to the United States of America. Altair has certified to the Department of Commerce that it adheres to the Privacy Shield Principles. If there is any conflict between the terms in this Policy and the Privacy Shield Principles, the Privacy Shield Principles shall govern. To learn more about the Privacy Shield program, and to view our certification, please visit the U.S. Department of Commerce’s Privacy Shield List at www.privacyshield.gov.
Altair also collects personal data concerning its employees (Human Resources Data) in connection with administration of its Human Resources programs and functions and for the purpose of communicating with its employees. Altair applies the EU-U.S. Privacy Shield Principles to these data. Further information in this regard can be found in Altair’s Human Resources Privacy Policy which is internally available to Altair’s employees.
DEFINITIONS
For purposes of this Policy, the following definitions shall apply:
“Agent” means any third party that collects or uses personal data under the instructions of, and solely for, Altair or to which Altair discloses personal data for use on Altair’s behalf.
“Altair” means Altair Engineering Inc, its US subsidiaries, divisions, and groups.
“Personal Information” means any information or set of data that identifies or is used by or on behalf of Altair to identify an individual. Personal Information does not include information that is encoded or anonymized, or publicly available information that has not been combined with non-public personal information.
“Sensitive Personal Information” means personal data that reveals race, ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, or that concerns health or sex life. While we do not consciously collect such information ourselves, Altair will treat as Sensitive Personal Information any information received from a third party where that third party treats and identifies the information as sensitive.
PRIVACY PRINCIPLES
The privacy principles in this Policy are based on the Privacy Shield Principles.
NOTICE: Where Altair collects personal data directly from individuals in the EEA, it will inform them about the purposes for which it collects and uses personal information about them. Notice will be provided in clear and conspicuous language when individuals are first asked to provide personal data to Altair and in any event before Altair uses or discloses the information for a purpose other than that for which it was originally collected or discloses information to a nonagent third party.
Where Altair receives personal data from its subsidiaries, affiliates or other entities in the EEA, it will use and disclose such information in accordance with the notices provided by such entities and the choices made by the individuals to whom such personal data relates.
Regardless of the sensitivity level of the Personal Information, Altair will give individuals the opportunity to affirmatively and explicitly (opt-in) consent to the disclosure of the information to a non-agent third party or the use of the information for a purpose other than the purpose for which it was originally collected or subsequently authorized by the individual. Altair will provide individuals with reasonable accommodations to exercise their choices.
DATA INTEGRITY: Altair will use all (Sensitive) Personal Information only in ways that are compatible with the purposes for which it was collected or subsequently authorized by the individual. Altair will take reasonable steps to ensure that your (Sensitive) Personal Information is relevant to its intended use, accurate, complete, and current. We will only collect and store (Sensitive) Personal Information that is relevant to fulfill the purpose of the request and will retain such information no longer than appropriate to fulfill the purpose of the request.
TRANSFERS TO AGENTS: We may share personal data with an Agent with your express consent or as necessary to complete any transaction or provide any product or service as requested or authorized. We may also share your data with Altair-controlled affiliates and subsidiaries; with vendors working on our behalf; when required by law or to respond to legal process; to protect our customers; to maintain the security of our products; and to protect the rights or property of Altair.
Altair’s accountability for personal data that it receives under the Privacy Shield and subsequently transfers to an Agent is described in the Privacy Shield Principles. In particular, Altair remains responsible and liable under the Privacy Shield Principles if third-party Agents that it engages to process the personal data on its behalf do so in a manner inconsistent with the Principles, unless Altair proves that it is not responsible for the event giving rise to the damage.
ACCESS AND CORRECTION: Upon request, Altair will grant individuals reasonable access to (Sensitive) Personal Information that it holds about them. In addition, Altair will take reasonable steps to permit individuals to correct, amend, or delete information that is demonstrated to be inaccurate or incomplete. These requests may be made by sending an email to privacy@altair.com. We may limit an individual’s access to (Sensitive) Personal Information where the legitimate rights of persons other than the individual would be violated.
SECURITY: Altair will take reasonable precautions to protect all (Sensitive) Personal Information in its possession from loss, misuse and unauthorized access, disclosure, alteration and destruction.
ENFORCEMENT: Altair will conduct annual compliance audits to ensure relevant privacy practices to verify adherence to this Policy. Any employee that Altair determines intentionally violates this Policy will be subject to disciplinary action up to and including termination of employment.
DISPUTE RESOLUTION: Any questions or concerns regarding the use or disclosure of personal data should be directed to Altair’s General Counsel at privacy@altair.com. Altair will investigate and attempt to resolve complaints and disputes regarding use and disclosure of personal data in accordance with the principles contained in this Policy. Under certain conditions, more fully described on the Privacy Shield website, you may invoke binding arbitration when other dispute resolution procedures have been exhausted: Altair has agreed to participate in the binding arbitration procedures of JAMS (originally Judicial Arbitration and Mediation Services) as described further at https://www.jamsadr.com/eu-us-privacy-shield pursuant to the Privacy Shield Principles, which will be offered free of charge to you. LIMITATIONS ON APPLICATION OF PRINCIPLES
Adherence by Altair to these Privacy Shield Principles may be limited (a) to the extent required or permitted by law or legal process, such as to respond to or investigate a legal or ethical obligation or request or pursuant to court orders, subpoenas, interrogatories or similar directive carrying the force of law; and (b) to the extent expressly permitted by an applicable law, rule or regulation.
INTERNET PRIVACY
Altair sees the Internet and the use of other technologies as valuable tools for communicating and interacting with consumers. Altair recognizes the importance of maintaining the privacy of information collected online and has created a specific Internet Privacy Policy (the “IPP”) governing the treatment of personal data collected through web sites that it operates. With respect to personal data that is transferred from the European Economic Area or Switzerland to the U.S., the IPP is subordinate to this Policy. However, the IPP also reflects additional legal requirements and evolving standards with respect to Internet privacy. Altair’s Internet Privacy Policy can be found at popup_privacy.htm.

Software Security Measures
Altair Engineering Inc. and its subsidiaries and affiliates, reserve the right to embed software security mechanisms in the Software for the purpose of detecting the installation and/or use of illegal copies of the Software. The Software may collect and transmit non-proprietary data about those illegal copies. Data collected will not include any customer data created by or used in connection with the Software and will not be provided to any third party, except as may be required by law or legal process or to enforce our rights with respect to the use of any illegal copies of the Software. By using the Software, you consent to such detection and collection of data, as well as its transmission and use if an illegal copy of the Software is detected. You may not take any steps to avoid or detect the purpose of any such security mechanisms.
